TechFlow Consulting provides IT project management and consulting services as agreed upon with the client. The scope, deliverables, and timelines will be outlined in a separate agreement or statement of work (SOW).

 

3. Client Responsibilities

Clients agree to:Provide necessary information and access to systems for service execution.Ensure timely communication and feedback.Comply with all applicable laws and regulations.

 

4. Payment Terms

Fees for services will be outlined in the agreed contract or SOW.Payments are due as specified in invoices issued by TechFlow Consulting.Late payments may be subject to interest or service suspension.

 

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. Confidential information shall not be disclosed to third parties without prior written consent.

 

6. Intellectual Property

Any pre-existing intellectual property of TechFlow Consulting remains our sole property.Work products created for the client may be used by the client upon full payment, subject to licensing agreements where applicable.

 

7. Limitation of Liability

TechFlow Consulting is not liable for any indirect, incidental, or consequential damages resulting from the use of our services.Our total liability under any agreement shall not exceed the fees paid by the client for the specific service in question.

 

8. Termination

Either party may terminate the agreement with prior written notice as specified in the contract.Upon termination, the client remains responsible for any outstanding payments for services rendered.

 

9. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Texas, USA.

 

10. Changes to Terms

TechFlow Consulting reserves the right to update these Terms at any time. Changes will be posted on our website with an updated effective date.
